Terms and conditions

The agreement behind the work: what we do, what you do, what it costs, who owns what, and where the limits sit. No small print, no surprises halfway through.

01About these terms

These terms apply between you and Highpoint Consultants (ACN 701 706 649) when you use this website or engage us for business development work.

Where a signed engagement agreement or scope of work covers something, that document wins. We write those per client because the work differs, and we would rather be specific about your situation than point you at a general clause.

02Using this website

The site, its text, layout, images and design belong to us or to the people who licensed them to us. You may read it, print a page for internal use, and share a link.

Please do not copy the site wholesale, scrape it, run automated tools against it, or use our name or brand in a way that suggests you are us.

03Enquiries and growth calls

The initial call is free and carries no obligation. Anything we say in it is a view on your business, not a promise of results.

Nothing on this site or in an early conversation is financial, tax, legal or investment advice. For those, engage a qualified adviser.

04Engagements and scope

Work starts once both sides agree a written scope: what we do, what you do, the timeline, and the cost. Anything outside that scope is quoted or agreed separately before it happens.

You nominate one person who can make decisions, and give us the access we need to the systems, records and people the scope depends on. Most of what we do happens inside your business, so access is the difference between a plan and a result.

05Fees, invoicing and payment

Fees are set out in the scope and are quoted exclusive of GST unless stated. Invoices are issued on the agreed schedule and are payable within 7 days of the invoice date.

Overdue amounts may accrue interest at 2% per month or the maximum the law allows, whichever is lower, and we may pause work while an invoice is overdue.

Third-party costs — advertising spend, software, subscriptions, print, travel agreed in advance — are paid by you directly or passed through at cost with receipts.

06What we need from you

Tell us the truth about the numbers, and raise problems early. If something in your business changes and it affects the work — a price move, a staff change, a supply issue — tell us.

You are responsible for making sure your own business is compliant: licensing, industry rules, advertising claims, rebates, warranties, and how you handle your customer data.

07Results are not guaranteed

Sales outcomes depend on your market, your pricing, your team and the effort put in behind the work. We commit to doing the work properly and reporting honestly on it, but we cannot guarantee a specific revenue figure, deal, or timeframe.

Figures published on this site describe what has happened on past engagements. They are not a forecast for your business and are not an implied promise.

08Intellectual property

What you bring is yours: your customer data, your brand, your documents, your CRM records.

Our methods, templates, frameworks and tools stay ours. Where a deliverable is produced for you under a scope, you get the rights to use it in your business once that work is paid for.

We may reference the engagement, in a general way and without confidential detail, in our marketing unless you ask us not to.

09Confidentiality

Both sides keep the other's confidential information private and use it only for the engagement. That obligation continues after the work ends.

Confidentiality does not cover information already public, already known, independently developed, or required to be disclosed by law.

10Warranties and disclaimers

We warrant that we will provide our services with reasonable care and skill, by people who have done this work before.

Other than that, and to the extent the law allows, this website is provided as is and we give no other warranties about the site or the outcomes of any engagement.

Nothing here excludes a right you cannot lawfully be excluded from, including guarantees under the Australian Consumer Law.

11Limitation of liability

To the extent the law allows, our liability for a claim is limited to re-supplying the relevant service or, where re-supply is not appropriate, to the total fees you have paid us in the 12 months before the claim.

We are not liable for indirect or consequential loss, lost profit, lost opportunity, or lost data, and no claim may be brought more than 12 months after the event giving rise to it.

If a court finds any part of this clause unenforceable, the rest still stands and the reduced limit that is enforceable applies.

12Term, termination and refunds

The engagement runs for the term in the scope, then ends unless both sides agree to continue in writing.

Either side may end it early by written notice on the terms in the scope. Fees for work already done are payable, and third-party costs already committed are yours. Fees for work already delivered are not refundable.

13Our people

During an engagement and for 12 months after it ends, neither side will directly recruit the other's personnel who were involved in the work, without the other's written consent. If you would like to bring someone in-house, raise it with us and we will talk about it openly.

We are independent contractors, not your employees or partners, and we are not your agent unless the scope says so.

14General

These terms, together with your scope of work, are the whole agreement about the subject matter and replace earlier discussions.

If one clause is unenforceable, the rest continue. A delay in enforcing a right is not a waiver of it. We may assign this agreement to another entity we control; you may not assign it without our consent.

Notices go by email to the addresses on the agreement, and are treated as received on the next business day if sent on a business day before 5pm.

15Governing law

These terms are governed by the law of New South Wales, Australia, and both parties submit to the courts of that State.

This document is updated when how we work changes, and the date at the top shows the last update. It is our standard position, not legal advice about your circumstances.
